TERMS AND CONDITIONS OF SALE

(SAKURA GROUP SRL – Belgium).

1. Scope and Application

These Terms and Conditions of Sale (“T&Cs”) govern all sales of devices, skincare products, and professional training services (“Products and Services”) provided by SAKURA GROUP SRL, a Belgian private limited company (SRL) with registered office at Bd. Brand Whitlock 154, 1200 Brussels, Belgium, enterprise number BE 1012.096.218 (hereinafter “Sakura Group”).

Any order placed by a client (the “Customer”) implies full and unreserved acceptance of these T&Cs, which prevail over any other document, unless expressly agreed otherwise in writing by Sakura Group.

2. Offers and Orders

  • All offers, price lists, or quotations issued by Sakura Group are non-binding until confirmed in writing.
  • Orders are binding only after written confirmation by Sakura Group.
  • Sakura Group reserves the right to refuse any order in case of payment defaults, insolvency, or non-compliance with applicable laws.

3. Prices

  • Prices are expressed in euros (€), exclusive of Belgian VAT (21%) and other applicable taxes, unless stated otherwise.
  • Any delivery, transport, installation, training, or ancillary costs will be invoiced separately.
  • Sakura Group may adjust its prices in case of changes in raw material costs, exchange rates, or applicable legislation, provided that Customers are informed prior to delivery.

4. Payment Terms

  • Invoices are payable within thirty (30) days of the invoice date, unless otherwise agreed in writing.
  • Late payment will automatically and without notice incur:
    • A fixed interest rate of 10% per annum;
    • A lump-sum indemnity of 10% of the outstanding amount, with a minimum of €250.
  • Sakura Group retains full ownership of all goods until full payment of the principal, interests, and costs (retention of title – Art. VII. 73 CDE).

5. Delivery and Transfer of Risk

  • Delivery dates are indicative and not binding. Delays cannot give rise to cancellation or damages.
  • Risk of loss or damage passes to the Customer upon delivery of the goods to the agreed location.
  • Transport and insurance are at the Customer’s expense, unless expressly agreed otherwise.

6. Training and Services

  • Training sessions provided by Sakura Group are intended exclusively for professional use.
  • Participation certificates do not replace official diplomas and are valid only within the scope of Sakura Group’s professional standards.
  • Sakura Group disclaims any liability for misuse of knowledge or equipment outside the training scope.

7. Warranty

  • Devices are covered by a standard two (2) year warranty against manufacturing defects, starting from the date of delivery.
  • Consumables, accessories, and wear parts are excluded from warranty.
  • The warranty is void in case of misuse, negligence, unauthorized modifications, or failure to comply with instructions.
  • For services and products, statutory consumer warranty rules apply in accordance with Belgian law.

8. Liability

  • Sakura Group shall not be held liable for indirect or consequential damages, including financial loss, reputational damage, or business interruption.
  • In any case, Sakura Group’s liability is strictly limited to the invoiced value of the product or service concerned.

9. Returns and Complaints

  • Any complaint regarding visible defects must be reported in writing within five (5) days of delivery.
  • Hidden defects must be notified within a reasonable period, in accordance with Art. 1641 et seq. of the Belgian Civil Code.
  • Returns are only accepted with Sakura Group’s prior written approval and at the Customer’s expense.

10. Intellectual Property

  • All trademarks, catalogues, training content, images, and documents provided by Sakura Group are protected by intellectual property rights.
  • No reproduction, distribution, or use is authorized without prior written consent from Sakura Group.

11. Force Majeure

  • Sakura Group shall not be liable for delays or failure in performance due to causes beyond its reasonable control, including strikes, supply chain disruptions, epidemics, natural disasters, or government restrictions.

12. Governing Law and Jurisdiction

  • These T&Cs are governed by Belgian law.
  • Any dispute shall fall under the exclusive jurisdiction of the courts of Brussels, Belgium.

13. General Provisions

  • The invalidity of one clause shall not affect the validity of the remaining clauses.
  • These T&Cs may be updated from time to time. The applicable version is the one in force on the date of order confirmation.
